Terms of Service

1. Acceptance of terms

By installing, activating, or using PharmaGuard software, you ("the Licensee") agree to be bound by these Terms of Service. If you are using PharmaGuard on behalf of a business, you represent that you have authority to bind that business to these terms. If you do not agree, do not install or use the software.

2. License grant

Subject to these terms and payment of any applicable license fee, we grant you a non-exclusive, non-transferable license to install and operate PharmaGuard on hardware located at your licensed pharmacy premises. This license covers:

  • Installation on one server or primary device per license
  • Access by an unlimited number of staff within your local network
  • Receipt of software updates provided during your support period

Additional pharmacy locations require separate licenses.

3. Restrictions

You may not:

  • Redistribute, resell, sublicense, or transfer the software to any third party without prior written consent
  • Reverse engineer, decompile, or disassemble the software except as permitted by applicable law
  • Remove or alter any proprietary notices or labels
  • Use the software to provide services to third parties (e.g., as a hosted SaaS offering) without a separate agreement

4. Your responsibilities

As the licensee, you are responsible for:

  • Hardware and infrastructure: Providing and maintaining the server, local network, power supply, and backups required to operate PharmaGuard.
  • Data backups: Regularly backing up your PostgreSQL database. We are not liable for data loss resulting from hardware failure or failure to back up.
  • Staff access management: Creating and managing staff accounts, assigning appropriate roles, and deactivating accounts when staff leave.
  • Regulatory compliance: Ensuring your use of PharmaGuard complies with the Pharmacy Act of Ghana, the Ghana Data Protection Act 2012, NHIS requirements, and any other applicable regulations.
  • Accurate data entry: The correctness of records entered into the system (prescriptions, stock quantities, prices) is your responsibility.

5. Support and updates

Your license includes software support and updates for the period specified at the time of purchase (typically 12 months). During this period, we will provide:

  • Bug fixes and security patches
  • Minor feature updates
  • Technical support via phone or WhatsApp during business hours (Monday–Friday, 8am–5pm GMT)

Support renewals are available at the end of each period. We do not guarantee support for versions more than two major releases behind the current release.

6. Disclaimer of warranties

PharmaGuard is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the software will be error-free or uninterrupted.

7. Limitation of liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to these terms or the software shall not exceed the license fees paid by you in the 12 months preceding the claim. In no event shall we be liable for indirect, incidental, consequential, or punitive damages, including loss of data, loss of revenue, or business interruption.

8. Termination

These terms remain in effect until terminated. We may terminate your license immediately if you materially breach these terms and fail to cure the breach within 14 days of written notice. Upon termination, you must cease using the software and delete all installed copies. Your data (in the database) remains yours and is not affected by termination.

9. Governing law

These terms are governed by the laws of the Republic of Ghana. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Ghana.

10. Changes to these terms

We may update these terms from time to time. We will notify active licensees of material changes by email or via the support channel. Continued use of the software after the effective date of changes constitutes acceptance.
